PICK RECYCLE – TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the
Pick Recycle mobile application, website, and related services (collectively,
the “Services”), operated by:

By accessing or using the Services, you agree to be legally bound by these
Terms. If you do not agree, you must not use the Services.

1. DEFINITIONS
 “Pick Recycle,” “we,” “us,” or “our” means 12305801 Canada Inc.
 “User” or “you” means any individual or entity using the Services,
including customers and drivers.
 “Customer” means a person or business requesting recycling pickup
or related services.
 “Driver” means an independent contractor using the platform to
perform pickup or delivery services.
 “Materials” means recyclable items including, but not limited to
cardboard, paper, plastics, metals, and approved recyclables.
 “Order” means a request submitted through the app for pickup or
delivery.

2. SCOPE OF SERVICES

Pick Recycle is a technology platform that connects Customers with
independent third-party Drivers and recycling partners for the pickup and
transportation of recyclable materials.
�� IMPORTANT:
Pick Recycle does not provide recycling, hauling, or transportation services
itself. All such services are provided by independent contractors.

3. ELIGIBILITY
To use the Services, you must:
 Be at least 18 years old
 Have legal capacity to enter a binding agreement
 Provide accurate and complete information
Business users confirm they are authorized to act on behalf of their entity.

4. ACCOUNT REGISTRATION
You agree to:
 Provide accurate, current information
 Maintain account security
 Notify us immediately of unauthorized use
You are responsible for all activity under your account.

5. INDEPENDENT CONTRACTOR RELATIONSHIP

Drivers are independent contractors, not employees, agents, or partners of
Pick Recycle.
Nothing in these Terms creates:
 Employment
 Agency
 Joint venture
 Partnership
Drivers control how and when they provide services, subject only to
platform requirements.

6. ORDERS & MATERIAL REQUIREMENTS
6.1 Acceptable Materials
Customers must ensure that all Materials:
 Are properly sorted and packaged
 Match the description in the Order
 Do not include hazardous, prohibited, or illegal items
6.2 Prohibited Items
The following are strictly prohibited:
 Hazardous waste
 Medical or biological waste
 Explosives, flammables, chemicals
 Illegal substances

 Electronics or batteries unless explicitly approved
Pick Recycle reserves the right to cancel or refuse service for prohibited
Materials.

7. PRICING, FEES & PAYMENTS
7.1 Fees
Fees may include:
 Pickup fees
 Service fees
 Environmental or disposal fees
 Cancellation fees
All fees are displayed before order confirmation.
7.2 Payments
Payments are processed via third-party payment processors. Pick Recycle
does not store payment card data.
7.3 No Refund Guarantee
Unless required by law, all payments are final, including failed pickups
caused by:
 Incorrect material description
 Inaccessible location
 Prohibited items

8. CANCELLATIONS

 Customers may cancel prior to driver dispatch
 Cancellation after dispatch may incur fees
 Repeated cancellations may result in account suspension

9. DRIVER PERFORMANCE & LIMITATIONS
Pick Recycle does not guarantee:
 Pickup times
 Driver availability
 Acceptance of every Order
Drivers may refuse service if:
 Materials are unsafe
 Location is inaccessible
 Order details are inaccurate

10. NO GUARANTEE OF RECYCLING OUTCOME
Pick Recycle does not guarantee that Materials will:
 Be recycled
 Be accepted by a recycling facility
 Avoid landfill disposal
Final disposition depends on contamination, regulations, and facility
policies.

11. USER OBLIGATIONS & CONDUCT
You agree not to:
 Misrepresent materials
 Abuse drivers or staff
 Use the platform for illegal purposes
 Attempt to bypass platform fees
Violations may result in immediate account termination.

12. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Pick Recycle disclaims all warranties, including:
 Fitness for a particular purpose
 Merchantability
 Availability or reliability

13. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Pick Recycle shall not be liable
for:
 Lost, damaged, or rejected materials
 Indirect or consequential damages
 Delays or service failures
 Acts or omissions of Drivers or third parties

TOTAL LIABILITY, if any, shall not exceed the amount paid for the specific
Order giving rise to the claim.

14. INDEMNIFICATION
You agree to indemnify and hold harmless Pick Recycle from any claims
arising out of:
 Your breach of these Terms
 Improper materials
 Violations of law
 Third-party claims related to your Order

15. INSURANCE
Pick Recycle may maintain general commercial insurance; however:
 Drivers maintain their own vehicle and liability insurance
 Pick Recycle is not responsible for driver insurance compliance

16. TERMINATION
We may suspend or terminate your account at any time, with or without
notice, for:
 Violation of these Terms
 Fraud or abuse
 Legal or regulatory reasons

17. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the Province of Ontario and the
laws of Canada.
You agree that any disputes shall be resolved exclusively in the courts
located in Ontario, Canada.

18. CHANGES TO TERMS
We may update these Terms from time to time. Continued use of the
Services after updates constitutes acceptance.

19. SEVERABILITY
If any provision is found unenforceable, the remaining provisions remain in
full force.

20. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Pick
Recycle regarding use of the Services.
